                                    <h3 style="color: #642667;">IoDSA Event Booking Terms and Conditions</h3>
                                    <hr />

                                        <ol>
                                            <p>These Terms and Conditions govern the delivery of events, conferences, workshops, and training programmes (“collectively referred to as Events”) by the Institute of Directors in South Africa NPC (“IoDSA”) to
                                                members and the public (“collectively referred to as Delegates”).<br /><br /><span style="white-space: pre;"><b><span style="color: #92d050;">GENERAL</span></b>
                                                </span>
                                            </p>
                                            <li>The IoDSA business hours are Monday to Friday from 09h00 to 16h00 (excluding weekends and public holidays).</li>
                                            <li>All calls to the IoDSA are recorded for record and quality purposes.</li>
                                            <li style="text-align: justify;">All official communication with Delegates will be conducted via email and no other platforms. All requests and updates (including updating of personal information) must be submitted in writing.</li>
                                            <li>Enquiries must be made out to the email address as listed on the respective Event booking page on the IoDSA website:<br />4.1.<span style="white-space: pre;">	</span>All training-related enquiries should be

                                            <li>IoDSA reserves the right to amend the details and logistics of Events at any time.&nbsp;</li>
                                            <li>IoDSA Events and other services are provided without any warranties or guarantees, except for their intended purpose. The IoDSA shall not be held liable for any direct, indirect, incidental, special, or consequential
                                                loss or damage arising from participation in any Event or other service.<br /></li>
                                            <li>The IoDSA shall not be liable for any delay, postponement, or failure to deliver an Event (in whole or in part) to the extent caused by circumstances beyond its reasonable control (“Force Majeure”). Force Majeure
                                                includes, without limitation, acts of God, natural disasters, epidemics/pandemics and related governmental restrictions, labour disputes or strikes (other than those solely involving IoDSA employees), widespread
                                                internet or telecommunications outages, fire, or any other unforeseen events that make performance commercially impracticable or unsafe. The IoDSA will make reasonable efforts to notify Delegates of a Force
                                                Majeure event as soon as practicable and will take reasonable steps to mitigate the impact.<br /></li>
                                            <li>All fee discounts, sponsorships, complimentary or pro bono services, and the like are provided entirely at the discretion of the IoDSA. These may be offered to Delegates who meet the discount eligibility criteria
                                                as determined by the IoDSA from time to time. The IoDSA reserves the right to amend, withdraw, or cancel any such benefits at any time and for any reason.&nbsp;<br /></li>
                                            <li>All persons attending events at the IoDSA office/venues do so at their own risk.<br /></li>
                                            <li>The terms “Delegate,” “Member,” or “person” are non-gender specific and refer to any individual, juristic person, organisation, body, institution, or third party engaging with the IoDSA.<br /></li>
                                            <li>“Business Days” refer to any day other than a Saturday, Sunday, or public holiday in the Republic of South Africa.</li>
                                            <li>If you are unhappy or dissatisfied with any Event provided by the IoDSA, you must submit your grievance in writing through one of the following channels:<br />12.1.&nbsp;&nbsp;The IoDSA online complaints link
                                                available on the website;<br />12.2.&nbsp;&nbsp;The Event feedback survey link provided (where applicable); or<br />12.3.&nbsp;&nbsp;Directly to the designated contact person for the Event, as listed on
                                                the Event page.<br />
                                                <p><b><span style="color: #92d050;"><br />ONLINE PROFILE AND INFORMATION</span></b></p>
                                            </li>
                                            <li>Delegates are required to have an online profile to book for Events or submit applications and the like.<br /></li>
                                            <li>Delegates must log in using their existing IoDSA Member or Event Attendee profile or create an Event Attendee Profile to make a booking if a profile does not already exist.&nbsp;<br /></li>
                                            <li>Delegates should always avoid creating or having duplicate profiles/accounts. Duplicate profiles may affect the application of member benefits, such as discounts on Event fees. Benefits, where applicable, will
                                                not be granted to members who have used a duplicate profile for booking an Event.&nbsp;<br /></li>
                                            <li>Delegates are responsible for keeping their profile and contact information accurate and up to date.<br /></li>
                                            <li>It is the responsibility of Delegates to ensure that their passwords are kept secure from third parties. Manual assistance with password resets is available upon telephonic and/or written requests after successful
                                                Delegate verification.<br /></li>
                                            <li>By providing the IoDSA with personal and professional information, the Delegate gives consent to the IoDSA to process this information to provide the Event and/or other related services.&nbsp;<br /></li>
                                            <li>The IoDSA undertakes to maintain the confidentiality of all information provided to it and will handle such information in accordance with the Protection of Personal Information Act 4 of 2013. For further details,
                                                Delegates may refer to the IoDSA’s&nbsp;<a href="https://cdn.ymaws.com/www.iodsa.co.za/resource/collection/F85F0CDA-6820-4BBA-A467-ED6EE14B0EE5/Privacy_Policy.pdf">Privacy Policy</a>&nbsp;and&nbsp;<a href="https://cdn.ymaws.com/www.iodsa.co.za/resource/collection/F85F0CDA-6820-4BBA-A467-ED6EE14B0EE5/PAIA_Manual.pdf">PAIA Manual&nbsp;</a>available
                                                on the IoDSA website.
                                                <p><b><span style="color: #92d050;"><br />EVENT BOOKINGS</span></b></p>
                                            </li>
                                            <li>All Event bookings must be completed via the online registration form specific to the Event.<br /></li>
                                            <li>Bookings must be made using the profile of the Delegate attending the Event. Bookings made under another Delegate’s profile will be deemed invalid, cancelled and may result in deletion or blocking of the profile
                                                and records, at the discretion of the IoDSA.&nbsp;<br /></li>
                                            <li>Delegates are responsible for ensuring that the information and contact details in their profile are accurate and correctly reflected on the Event booking form. The details provided on the Event booking form
                                                will be used for all event-related communications and for issuing of certificates of attendance (where applicable). The IoDSA will not be held liable if Delegates use the details of a personal assistant,
                                                secretary or any other third party and, as a result, do not receive Event communications.<br /></li>
                                            <li>A Delegate’s booking for an Event will only be considered confirmed upon:&nbsp;<br />23.1.&nbsp;&nbsp;Acceptance of these Terms and Conditions (Ts &amp; Cs) and any other specific terms and conditions applicable
                                                to the specific Event&nbsp;(which will take precedence over these T&amp;Cs if there is a conflict);<br />23.2.&nbsp;&nbsp;Receipt of full payment of the applicable Event invoice/fee within the stipulated
                                                timeframe. Full payment must be received in the&nbsp;IoDSA’s designated bank account and correctly allocated to the Delegate’s profile in relation to the specific Event invoice.&nbsp;<br /></li>
                                            <li>The primary payment method for an Event is online payment via credit or debit card. For certain Events, generation of an invoice for Electronic Funds Transfer (EFT) may be available as an alternative payment
                                                method during the booking process.<br /></li>
                                            <li>Event seats/spaces are allocated on a first-come, first-served basis and are confirmed only upon receipt of full payment.<br />25.1.&nbsp;&nbsp;For EFT Payments: Either full payment must reflect in the IoDSA
                                                bank account, or a valid proof of payment or purchase order (where the Delegate’s company is responsible for payment) must be received within the stipulated timeframe.<br />25.2.&nbsp;&nbsp;For Card Payments:
                                                Payment is processed immediately and reflected against the Delegate’s account/profile due to the online payment method.&nbsp;<br /></li>
                                            <li>The IoDSA does not permit any amendments to the date reflected on an issued invoice. Once an invoice has been generated, the invoice date is final and may not be backdated or changed under any circumstances.
                                                <p>&nbsp;</p>
                                                <p><b><span style="color: #92d050;">PAYMENT BY DELEGATES</span></b></p>
                                            </li>
                                            <li>Upon completing and submitting an Event booking form, Delegates must make an immediate payment of the Event fee via the IoDSA eCommerce platform during checkout using a credit/debit card. This is the IoDSA’s
                                                preferred method of receiving payment, as card payments are allocated directly to Delegate profiles and immediately secures and confirms the Delegate’s booking.<br /></li>
                                            <li>Delegates will, in addition, depending on the Event have an EFT payment option:<br />28.1.&nbsp;&nbsp;If the EFT payment option is available and selected as the payment method during the booking process, payment
                                                must be made and proof of payment must be shared with the contact person as listed on the Event page within 48 hours of receipt of invoice, using the invoice number as reference. Once the payment reflects
                                                in the IoDSA bank account it will be allocated to the Delegate’s profile, and&nbsp;the booking will be considered confirmed. Failure to adhere to this timeline will result in the booking being cancelled
                                                without further&nbsp;notice.&nbsp;<br />28.2.&nbsp; The IoDSA shall not be held responsible for the delay in allocation of payments due to incorrect references being used by the &nbsp; Delegate. Where EFT
                                                payments cannot be allocated as a result of incorrect references used or not providing proof of payment, the&nbsp; Delegate will be required to provide proof of payment in order for the IoDSA to confirm
                                                and allocate payment. Until such time, the Delegate’s booking is not confirmed and may be cancelled if payment is not received within the stipulated timeframe.&nbsp;<br />
                                                <p>&nbsp;</p>
                                                <p><b><span style="color: #92d050;">PAYMENTS BY COMPANIES ON BEHALF OF DELEGATES</span></b></p>
                                            </li>
                                            <li>Should a Delegate require their Company to make payment on their behalf, and the credit/debit card payment is not possible during checkout due to Company internal processes, then:<br />29.1.&nbsp;&nbsp;During
                                                the checkout process the Delegate is required to select EFT as the payment option and provide the Company’s details that must appear on the invoice, should this be an available option for payment, in which
                                                case Clause 28 will apply; or&nbsp;<br />29.2.&nbsp;&nbsp;Should EFT not be available, or the Company cannot adhere to the requirements in Clause 28, the Delegate is required to make a&nbsp;written request
                                                to the contact person of the Event to assist with accommodating a company payment arrangement and to provide an invoice.<br />29.2.1.&nbsp;&nbsp;To accommodate a Company payment arrangement, and to provide
                                                an invoice for payment, the IoDSA requires the written request by the Company and/or Delegate at least four (4) weeks prior to the respective Event date(s). Events starting within four&nbsp;(4) weeks cannot
                                                accommodate Company payment arrangements. The following applies to all Company payment arrangements:&nbsp;<br />(a)&nbsp;<span style="white-space: pre;"> </span>All onboarding and supplier processes, including
                                                supplier bidding documentation and proof of payment (for Private&nbsp;Sector Companies and International Companies) or valid Purchase Orders (PO) – in the case of Public Sector companies, must be&nbsp;completed
                                                and submitted to the IoDSA within two (2) weeks from the time of the written request&nbsp;and the IoDSA approving the payment arrangement, and no later than two (2) weeks prior to the Event. Where the&nbsp;IoDSA
                                                finds the onboarding process extensive/unreasonable regarding timelines, the IoDSA reserves the right to cancel&nbsp;the payment arrangement at any time.&nbsp;<br />(b)&nbsp;&nbsp;A Delegate’s booking for
                                                an Event is only considered confirmed upon receipt of full payment of the applicable Event&nbsp;invoice/fee in the bank IoDSA bank account (proof of payment must be supplied), or in the case of local Public
                                                Sector&nbsp;companies, a valid Purchase Order, within the above stipulated timeframe.&nbsp;<br />(c)&nbsp;&nbsp;If the onboarding process, applicable supply chain documentation, and payment/PO are not received
                                                within the stipulated timelines, for whatever reason, the IoDSA reserves the right to release the booking(s) without notice and&nbsp;make the seat(s) available to other Delegates and any planned future bookings
                                                will be cancelled.<br /></li>
                                            <li>In the case of local Public sector companies, if the Company fails to make payment within 30 days of the Event date, the Delegate will be held responsible for payment, and the Delegate/Company will be blacklisted.
                                                Any future and current planned bookings will be cancelled until such payment has been settled.&nbsp;&nbsp;<br /></li>
                                            <li>All other terms and conditions relating to postponement, cancellations, non-attendance, deferment, replacement of Delegates, and any other general provisions set out in these Terms and Conditions apply.&nbsp;
                                                <p>&nbsp;</p>
                                                <p><b><span style="color: #92d050;">CANCELLATION</span></b></p>
                                            </li>
                                            <li>All requested cancellations must be submitted in writing to the email address specified on the Event page/registration form.<br /></li>
                                            <li>Cancellations made within five (5) business days of the date of payment will not be subject to any penalties i.e. the Event fee will be fully refunded (“Cooling-off Period”).&nbsp;<br /></li>
                                            <li>Delegates who cancel their booking after the Cooling-Off Period and&nbsp;<strong>more than ten (10) business days before the scheduled date&nbsp;</strong>of the Event are required to pay/forfeit 25% of the total
                                                fee as a cancellation penalty. The remaining Event fee will be refunded.<br /></li>
                                            <li>Delegates who cancel their booking between&nbsp;<strong>ten (10) and five (5) business days before the scheduled date&nbsp;</strong>of the Event are required to pay/forfeit<strong>&nbsp;50%&nbsp;</strong>of
                                                the total fee as a cancellation penalty. The remaining Event fee will be refunded.<br /></li>
                                            <li>Delegates who cancel their booking within&nbsp;<strong>five (5) business days</strong>&nbsp;prior to the&nbsp;<strong>scheduled Event date</strong>&nbsp;will be liable for a cancellation penalty equal to&nbsp;<strong>100%</strong>&nbsp;of
                                                the total Event fee. No refunds will be issued in such cases.&nbsp;<br /></li>
                                            <li>In the event of cancellation by the IoDSA, all registered Delegates will be notified, and the full Event fee will be refunded or deferred to another Event, subject to agreement between the IoDSA and the Delegate.
                                                <p>&nbsp;</p>
                                                <p><b><span style="color: #92d050;">DEFERMENT/POSTPONEMENT</span></b></p>
                                            </li>
                                            <li>Deferment refers to cases where a Delegate is unable to attend an Event due to medical reasons or other emergencies, including but not limited to accidents and bereavement. The Event fee in these circumstances
                                                will not be forfeited, provided that valid supporting documentation is submitted within five (5) business days post the Event date.&nbsp;<br /></li>
                                            <li>For medical reasons, a medical certificate must indicate the dates of medical unfitness, which must align with the scheduled Event date.&nbsp;<br /></li>
                                            <li>For other emergencies, appropriate evidence (e.g., police report, or death certificate) must be provided.<br /></li>
                                            <li>Where reasonably practical, the IoDSA will offer the Delegate an alternative Event scheduled within the current calendar year. If no suitable Event is available for booking, the IoDSA will refund the Delegate.&nbsp;<br /></li>
                                            <li>If a deferment/postponement request is submitted but deemed unreasonable or unsupported by valid documentation as outlined above, the request will be treated as non-attendance in accordance with Clause 44. In
                                                such cases, the full Event fee will be forfeited/payable, and no refund will be issued. The IoDSA reserves the sole discretion to determine the reasonableness of any deferment request.&nbsp;<br /></li>
                                            <li>Should a deferment request be granted and an alternative Event is selected that has a higher price than what was paid/invoiced, the Delegate will be required to pay the difference.
                                                <p>&nbsp;</p>
                                                <p><b><span style="color: #92d050;">NON-ATTENDANCE</span></b></p>
                                            </li>
                                            <li>Subject to the provisions of the Cancellation Clauses and Deferment/Postponement Clauses above, in instances of&nbsp;<strong>non-attendance without prior written cancellation or a valid deferment request the full Event fee will be forfeited or payable, and no refund will be issued.&nbsp;</strong>Work-related
                                                reasons are not accepted as suitable reasons for non-attendance. Delegates who are unable to attend an Event due to work-related reasons will forfeit any payments made.<br /></li>
                                            <li>Delegates may submit written reasons for their non-attendance within five (5) business days after the scheduled Event. The IoDSA may, at its sole discretion, allow the Delegate to reschedule attendance on another
                                                Event date, or to another Event within that year (subject to availability). Requests submitted after the five (5) business day window period will be considered under&nbsp;<strong>Clause 44</strong>.&nbsp;<br /></li>
                                            <li>If a Delegate fails to attend a registered Event and does not submit a written cancellation, deferment request, or valid justification within the timeframes outlined in&nbsp;<strong>Clause 45,</strong>&nbsp;the
                                                matter will be considered closed. The full Event fee will be forfeited or payable, and no refunds, or rescheduling options will be considered, unless the IoDSA, at its sole discretion, determines otherwise.<br /></li>
                                            <li>A Delegate may nominate a replacement if they are unable to attend specific Events (specifically in the case of public training Events), provided the IoDSA is notified in writing at least five (5) business days
                                                prior to the scheduled date of the Event. All replacement requests are at the sole discretion of the IoDSA and will be confirmed in writing.<br /></li>
                                            <li>If the nominated replacement Delegate does not meet any applicable entry requirements for the Event (e.g., IoDSA Member-only events), participation will be declined, and the original Delegate will remain liable
                                                for the Event fee in accordance with the applicable cancellation or non-attendance clauses.<br /></li>
                                            <li>Where a discounted Event fee has been applied to a Delegate who is a paid IoDSA Member, and the replacement Delegate is not a paid IoDSA Member, the difference in fee will be charged to the replacement Delegate.
                                                If the replacement Delegate’s company is responsible for payment, the replacement Delegate will be billed and is responsible for payment and must recover the expense from their company.<br /></li>
                                            <li>If a replacement Delegate is not found or confirmed in writing by the IoDSA at least five (5) business days prior to the Event, and the original Delegate does not attend, this will be treated as a cancellation
                                                taking place within five (5) business days of the Event date or a non-attendance, as applicable. In such cases, the full Event fee will be forfeited or payable, and no refund will be issued, in accordance
                                                with the applicable Cancellation or Non-Attendance Clauses above.<br /></li>
                                            <li>All terms and conditions applicable to the original Delegate, including those relating to cancellation, deferment, non-attendance, payment obligations, and conduct—shall apply equally to any nominated replacement
                                                Delegate. Acceptance of a replacement Delegate by the IoDSA does not constitute a waiver of any rights under these Terms and Conditions. The original Delegate remains liable for any fees, penalties, or administrative
                                                consequences arising from the replacement’s participation or failure to comply with these Terms.<br _rdeditor_temp="1" /></li>
                                            <li>Delegates who attend specific Events, such as training, for the full duration of the Event will receive a Certificate of Attendance.&nbsp;</li>
                                            <li>The IoDSA reserves the right to withhold a Certificate of Attendance if the Delegate is deemed inattentive or not sufficiently present during the Event. Criteria to determine attendance is based on attendance
                                                tracking, engagement during the Event, participation in discussions, polls and other engagement activities.&nbsp;<br /></li>
                                            <li>It is the Delegate’s responsibility to retain and securely store their Certificates of Attendance. Certificates for qualifying Events can be accessed via the Delegate’s online profile. However, due to system
                                                upgrades or operational limitations, certain certificates—particularly those issued prior to February 2020—may no longer be available online or retrievable. The IoDSA shall not be held liable for storage,
                                                recovery, or reissuance of certificates beyond what is reasonably supported by its systems and policies.<br />
                                                <p>&nbsp;</p>
                                                <p><b><span style="color: #92d050;">COMPLIANCE WITH RULES</span></b></p>
                                            </li>
                                            <li>The IoDSA reserves the right to refuse admission to or remove a Delegate from an Event at its sole discretion. This may occur if payment has not been received, if the Delegate poses a health or safety risk,
                                                or if they are considered disruptive to others. Should a Delegate be removed from the Event due to the above misconduct, the fee is not refundable/is payable.&nbsp;<br /></li>
                                            <li>Delegates must comply with all house rules set by the IoDSA, the facilitator, and the venue or online platform. Respectful conduct is expected throughout the duration of the Event.<b><span style="color: #92d050;"></span></b></li>
                                            <li>Where applicable, course materials provided during Events are the intellectual property of the IoDSA and/or designated third parties. These materials are intended solely for the use of the attending Delegate.
                                                Reproduction, distribution, or modification of any part of the course material is strictly prohibited and subject to the IoDSA’s Intellectual Property Policy.<br /></li>
                                            <li>The recording or transcription of any Event in any format, including but not limited to video, audio, or text, is strictly prohibited by any delegates.&nbsp;<br /></li>
                                            <li>By attending an Event, the Delegate consents to their photographs and/or event feedback being published on social media or other media as may be determined by the IoDSA.&nbsp;</li>
