King Code of Governance Principles (King III)

  • Principle 1.2: The board should ensure that the company is and is seen to be a responsible corporate citizen.
  • Principle 1.3: The board should ensure that the company’s ethics is managed effectively.


The Social & Ethics Committees 2.0 workshop is intended for board members, members and standing invitees of Social & Ethics Committees, as well as for staff who report to Social & Ethics Committees. This course will be valuable for companies where the Social & Ethics Committee is already well-established. This workshop focuses on the emerging best practices in running an effective Social & Ethics Committee.

Companies who are still in the process of establishing a Social & Ethics Committees should attend the Social & Ethics Committees 1.0 workshop.


Key Focus Areas:
The workshop will look at best practice regarding different aspects of Social & Ethics Committees drawn from a variety of companies. Aspects that will be discussed are:

  • The Terms of Reference (or Charter) of the Social & Ethics Committee
  • Compilation of the Social & Ethics Committee
  • Annual workplans
  • Reporting frameworks
  • Minutes of Social & Ethics Committee meetings
  • Relationships with other board committees, e.g. Audit, Risk, Remco
  • Reporting to the AGM

Prof. G.J. (Deon) Rossouw

Deon Rossouw is currently the CEO of the Ethics Institute of South Africa and Extraordinary Professor in Philosophy at the University of Pretoria. Deon Rossouw specializes in the field of Business Ethics and the Ethics of Corporate Governance. His articles have been published in leading international journals. He was the Founding President of the Business Ethics Network of Africa (BEN-Africa) and also served as President of the International Society of Business, Economics and Ethics (ISBEE). He also served as a member of the Research Team for the Second King Report on Corporate Governance and is a member of the Sustainability Committee of the Third King Report on Corporate Governance for South Africa.
