Overview

The new Company Act requires that the boards of all listed public companies, state owned enterprises and companies with significant public interest should have a social and ethics sub-committee. The introduction of social and ethics committees emphasizes that companies have a significant social impact on the societies in which they operate. They thus have to be responsible corporate citizens – as the Third King Report on Corporate Governance also stated. This workshop will explore how social and ethics committees should operate and how they could fit into the overall corporate governance of a company.


King Code of Governance principles (King III)

  • Principle 1.1: The board should provide effective leadership based on an ethical foundation
  • Principle 2.13: The board should ensure that the company’s ethics are managed effectively
